1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the website digitizworld-marketing.com and the done-for-you Meta Ads and client acquisition services ("Services") provided by Digitizworld ("we," "our," or "us"). By visiting our website, engaging with our advertisements, booking a discovery call, or purchasing any Services, you ("Client," "you," or "your") agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must immediately discontinue use of our website and refrain from engaging our Services. These Terms constitute a legally binding agreement between you and Digitizworld, owned and operated by Vishwajit, and supersede any prior agreements, communications, or understandings.

2. Services Description

Digitizworld offers a comprehensive, done-for-you Meta Ads and client acquisition system tailored for real estate businesses and agencies targeting high-ticket clients. Our Services include, but are not limited to:

• Meta (Facebook/Instagram) advertising campaign strategy, setup, and management.
• Lead form creation, ad creative design, and audience targeting optimization.
• Pixel and Conversions API implementation and troubleshooting.
• Discovery call booking and consultation as part of the client acquisition funnel.
• Performance reporting, analytics, and ongoing optimization recommendations.

The exact scope, deliverables, and timelines shall be defined in a separate service agreement or statement of work executed between Digitizworld and the Client. We reserve the right to modify or discontinue any aspect of the Services with reasonable notice.

3. Client Obligations & Responsibilities

To enable successful delivery of our Services, you agree to:

• Provide accurate, complete, and timely information regarding your business, target audience, and advertising goals.
• Grant necessary access to Meta Business Suite, ad accounts, pixels, and other relevant platforms.
• Adhere to all platform policies, including Meta's Advertising Standards and Community Guidelines.
• Refrain from engaging in any fraudulent, deceptive, or unethical practices that may affect campaign performance or compliance.
• Pay all fees associated with ad spend, tools, and third-party services separate from our management fees, unless otherwise agreed.

4. Payment Terms & Fees

All fees for our Services are detailed in the individual service proposal or invoice. Payment terms are as follows unless otherwise specified:

• Service fees are due in advance, based on the agreed billing cycle (monthly, quarterly, or per project).
• Ad spend budgets are separate and must be funded directly by the Client or through a pre-agreed management arrangement.
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, and may result in suspension of Services.
• All fees are non-refundable except as explicitly outlined in our Refund Policy or separate agreement.

5. Intellectual Property Rights

All content, materials, strategies, ad copy, creative assets, and proprietary methodologies developed by Digitizworld remain our exclusive intellectual property, unless otherwise transferred through a written agreement. Upon full payment, the Client receives a non-exclusive, non-transferable license to use the deliverables solely for their own business purposes.

The Client retains ownership of their pre-existing brand assets, trademarks, and confidential business information. The Client grants Digitizworld a limited license to use such materials solely for the purpose of delivering the agreed Services.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary, financial, or business information disclosed during the engagement. Confidential information shall not be shared with third parties without prior written consent, except as required by law. This obligation survives the termination of the agreement.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Digitizworld and its owner Vishwajit shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Services, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility. Our total aggregate liability for any claim shall not exceed the fees paid by the Client for the specific service giving rise to the claim during the six (6) months preceding the event.

Meta Ads performance is influenced by numerous external factors beyond our control, including platform algorithm changes, market conditions, and audience behavior. We do not guarantee specific results, lead volume, or ROI.

8. Indemnification

You agree to indemnify, defend, and hold harmless Digitizworld, its owner Vishwajit, and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, violation of applicable laws, or misuse of our Services, including any content you provide or campaigns you run.

9. Termination

Either party may terminate the Services with written notice as specified in the individual service agreement. Digitizworld reserves the right to immediately suspend or terminate Services if the Client violates these Terms, fails to pay fees, or engages in activities that jeopardize ad account compliance. Upon termination, all outstanding fees become immediately due, and access to campaign assets may be revoked.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in [Your City/Region], India.
